Phillips Will Guide the Path to the Paramount Merger Deal

Charles E. Phillips, Jr.

Sony Pictures Entertainment and Apollo Global Management had expressed interest in purchasing Paramount for 26 billion dollars. However, Sony decided not to pursue a counter bid for Paramount Global in July 2024.

The go-shop period was extended to September 5, 2024, to allow for further discussions with Edgar Bronfman.

With Bronfman withdrawing his bid, the special committee of Paramount’s board, headed by Charles E. Phillips, Jr., has confirmed that the merger with Skydance is now set to proceed. Phillips has the responsibility to evaluate and oversee the merger deal.

However, while Skydance can now proceed with acquiring control, it is still facing a risk: if the merger is delayed beyond September 5, 2024, Skydance will be required to pay a penalty of 400,000 dollars.

Paramount Global encompasses a wide range of media assets, including CBS, MTV, BET, Comedy Central, and more. The company comes from the merger of Viacom and CBS.

Despite the split of Viacom and CBS in 2005, they went under the same umbrella, aligning with the previous acquisition of Paramount Communications by Viacom in 1994, which sparked the mentioned succession of events.

In the short period between 2012 and 2013, Viacom International Media Networks (a division of Viacom) and T-Mobile launched MTV Mobile in Poland, branded as a media entity.

The service was aimed at young people but was eventually discontinued due to unmet goals. In Italy, MTV Mobile was powered by TIM and was closed in 2012.

Notably, following a decade-long ownership dispute with the French Vivendi corporation, T-Mobile Polska has been wholly owned by the German telecommunications provider Deutsche Telekom since 2010. (Redazione)
